Total Soft Bank Is Still Cheap. The Cash Is Not a Floor

The Korean port-software company first appeared to trade at 2.4x operating profit with 60% cash coverage; a closer filing read leaves genuine value at 4.3x normalized profit, but no hard cash floor.

Total Soft Bank initially looked like a rare cash arbitrage: a profitable software company trading at roughly 2.4x operating profit (OP), with cash and current deposits covering about 60% of its market value.

That cheapness survives a closer reading of the filings. The original framing does not. Government grants supported reported profit, several non-equity claims sit ahead of the apparent cash surplus, and minority shareholders have no assured route to the remaining capital. The corrected result is still attractive—about 4.3x claim-adjusted enterprise value to normalized FY2025 OP, with claim-adjusted surplus capital equal to 47% of market value—but it is a governance-dependent value investment, not a cash-backed free option.

1. Why it looked exceptional

Total Soft Bank builds software for ports, terminal operators and shipping lines. Its CATOS terminal operating system plans vessel and yard activity, controls work across the quay, yard and gate, and records operating data for later analysis. The company also sells stowage-planning, port-community, vessel-loading and training systems.1

The business combined growth and margin. Revenue rose from ₩16.1bn in FY2023 to ₩20.7bn in FY2024 to ₩27.5bn in FY2025. OP rose from ₩3.6bn to ₩5.2bn to ₩9.4bn over the same years. CATOS supplied about 74% of FY2025 revenue; exports supplied 91.5%.1

Backlog added apparent visibility. At March 31, 2026, Total Soft Bank reported ₩38.2bn of orders not yet recognized as revenue—more than a year of FY2025 sales—including ₩23.7bn of CATOS work and ₩8.9bn of maintenance.2

The first-glance valuation was hard to ignore. At the ₩6,580 closing price on July 15, 2026, 8.313 million shares excluding treasury stock implied a ₩54.7bn economic market cap. Pro-forma accessible cash and current deposits were about ₩32.7bn after restricted balances and the known post-quarter buyback outlay. Net that against equity value and divide by ₩9.36bn of reported FY2025 OP: about 2.4x.

The balance sheet covered most of the market value, the operating business earned a 34% reported margin, and backlog exceeded a year of revenue.

2. What the filings established—and corrected

Maintenance is real, but this is not proved SaaS

The strongest finding is the revenue mix. Total Soft Bank’s product table labels most revenue as services, which makes the company look like a project contractor. The revenue-recognition note tells a better story: revenue recognized through the passage of time was ₩11.14bn, or 40.5% of FY2025 sales, and ₩2.79bn, or 37.9% of Q1 2026 sales. Both figures matched delivered maintenance revenue in the order table exactly.2

That is recurring-like contract revenue, not a loose estimate of repeat business. The Q1 maintenance order book also grew to ₩11.69bn before ₩2.79bn of delivery, leaving ₩8.90bn outstanding.

It is not proof of subscription software. Total Soft Bank does not disclose renewal rates, churn, maintenance margins, or the split between new licenses, implementation and cloud subscriptions. One West Med terminal contract combines a six-month system build with a five-year license paid in annual installments—evidence that implementation can create a longer revenue tail, not evidence about the economics of the rest of the installed base.

Grants explain part of the reported margin

The reported 34% OP margin also needed adjustment. FY2025 OP of ₩9.36bn included ₩2.63bn of government-grant offsets against expenses. Removing those grants leaves ₩6.73bn of normalized OP and a 24.5% margin.1

Cash generation held up after the same correction. Reported operating cash flow (CFO) was ₩10.54bn; removing ₩2.55bn of grant receipts leaves about ₩7.99bn. The cash-flow statement reported no PP&E or intangible CAPEX during the year.

Grants supplied 28% of reported OP. That does not make the business unprofitable or capital-intensive—it changes an exceptional margin into a still-attractive one.

The cash is real; the surplus is smaller

The cash bridge starts with ₩16.12bn of Q1 cash and ₩17.71bn of current deposit products. Removing ₩253m of restricted balances and ₩910m of known post-Q1 buyback spending leaves ₩32.66bn of pro-forma accessible cash and deposits.3

A conservative surplus-capital calculation then deducts the recorded net retirement-benefit liability, employee-benefit liability, government-grant liability and lease obligation—about ₩6.85bn in total. Claim-adjusted surplus capital falls to ₩25.81bn, or 47.2% of economic market value.

Governance determines whether the discount closes

The controller group held 30.72% at March 31. The CEO also owns 100% of Total Software Bank Vietnam. Total Soft Bank bought ₩1.52bn from that affiliate in FY2025 and ₩449m in Q1 2026. The filings disclose the amounts, not the pricing terms or enough information to judge whether the economics are arm’s length.2

Capital return has improved but has not established a policy. The company resumed a ₩100-per-share dividend for FY2025 after paying none in 2023 or 2024. The dividend consumed 10.3% of net income and yielded about 1.5% at the July 15 price.4

The company also authorized a ₩2bn buyback trust and acquired 244,840 shares—2.86% of issued shares—for ₩1.67bn at an average ₩6,828 through May 28.3 The trust had already spent 83.6% of its mandate by June 8, leaving about ₩328m, or 0.6% of economic market value. The board has not committed to cancel the shares, so the reduction is not permanent and the stock can later be reissued.

Terminal value is the other unresolved half of the discount. Total Soft Bank says CATOS operates across roughly 110 terminals in a reference-driven oligopoly with high reliability requirements.1 That fits the economics of mission-critical port software, but public disclosure gives no retention, renewal, win/loss or product-level margin data. Two customers supplied 29.6% of Q1 revenue, and project completion dates can move.2

The filings prove a meaningful maintenance base. They do not prove how durable or profitable that base will be over the next decade.

3. Our current conclusion

The original idea was directionally right. The market assigns a low value to a profitable maritime-software franchise, and the maintenance evidence refutes the simplest bear case: that Total Soft Bank is merely a series of one-off implementation projects.

The original idea overstated the floor. Minority shareholders need the controller to distribute, cancel or productively invest the surplus capital before it deserves full credit.

A simple valuation illustration shows the opportunity and the limitation. Valuing normalized OP at 6–8x and adding full claim-adjusted surplus capital produces roughly ₩8,000–₩9,600 per share, 21–46% above ₩6,580. That is not a price target. It assumes the operating earnings are durable and the surplus capital ultimately belongs at close to face value.

The downside is equally conditional. At ₩4,000, the operating business appears to trade near 1.1x normalized OP only if surplus capital receives full credit. Apply a 50% governance haircut to that capital and the implied business multiple becomes roughly 3x. Cash supports the stock; it does not create a hard floor.

Our current conclusion is clear value with a weak recognition mechanism. The next interim filings can test maintenance revenue, backlog conversion, ex-grant margins, receivables and cash. Clean results would improve the operating case, but they would not release the cash by themselves.

The conclusion would change more materially if the board cancelled the trust-held shares, authorized another substantial return, raised the payout enough to establish a cadence, or disclosed the related-party terms and maintenance economics more fully. An outside buyer or strategic process would also create a recognition mechanism that does not currently exist.
